Represent buyers/sellers in the acquisition/sale/transfer of a business interests (asset/member interest/stock).
Form new business entities and prepare governance and operating documents, including LLC operating agreements, corporate by-laws and shareholder agreements, and partner buy/sell agreements.
Draft contracts/documents, negotiate transactions and advise business owners on the protection of on-going business interests including confidentiality, nondisclosure and non-compete, license, distribution, commercial lease, and basic intellectual property.
Estate Planning & Personal Matters

Prepare Wills, Powers of Attorney (financial & health care), Living Wills (Advanced Directive), Revocable Living Trusts, and Marital Property Agreements.
Advise and manage trust administration and probate matters.
Draft documents and advise on home or residential condominium sale/purchase and related real estate matters.
